This Invest Diva Ambassador Agreement (the “Agreement”) is made by and between Invest Diva LLC (“Company”) and the individual or entity applying to become an Invest Diva Ambassador (“Ambassador”). By applying to join and participating in the Invest Diva Ambassador Program (the “Program”), you agree to the terms of this Agreement, including the associated policies and guidelines.

1. ENROLLMENT

To join the Program, you must submit a complete application via the Invest Diva Ambassador Program page. The Company will review your application and notify you of its acceptance or rejection. The Company may reject any application at its sole discretion.

2. PROMOTION GUIDELINES

As an Ambassador, you will receive a unique referral link to promote Invest Diva products and services. You are responsible for ensuring your promotions comply with the following guidelines:

Compliance: You must comply with all applicable laws, including FTC disclosure guidelines.

Disclosure: You must clearly disclose your relationship with the Company when promoting products (e.g., "As an Invest Diva Ambassador, I may earn commissions for purchases made through my link.").

Prohibited Activities:
- No false or misleading claims about the Company or its products.
- No spamming or use of unauthorized advertising methods, including paid search on Invest Diva trademarks.
- No negative comparisons or disparagement of Invest Diva or its competitors.
Failure to adhere to these guidelines may result in suspension or termination from the Program.

3. COMMISSIONS AND PAYMENTS

Eligibility for Commissions
You will earn commissions on “Qualified Sales.” A Qualified Sale is defined as a purchase made through your unique referral link, tracked to your account, and remaining active (no cancellations, refunds, or chargebacks) for at least 30 days.

Commission Structure
Ambassadors will earn a percentage based on their tier on each Qualified Sale.
Basic Affiliate - $25%
​JV Affiliate - 30%
​Super Affiliate - 40%

Payment Terms
Commissions are calculated monthly and paid 30 days after the end of the month in which the Qualified Sale occurred, provided the account associated with the sale remains active.

Payments are made via PayPal.

Minimum Payout Threshold
Commissions are paid once your balance meets or exceeds $25. If the threshold is not met, the balance will roll over to the next payout period.

Adjustments
Commissions on refunded or disputed purchases will be deducted from future payouts. You will be notified of any deductions through the Ambassador dashboard.

Any fraudulent or invalid referrals, as determined solely by the Company, will be disqualified.

4. TERM AND TERMINATION

This Agreement will begin upon your acceptance into the Program and will remain in effect until terminated by either Party.

Termination by the Ambassador: You may terminate your participation in the Program at any time by providing written notice to the Company.

Termination by the Company: The Company may terminate this Agreement or suspend your account immediately if you violate Program policies or this Agreement.

Upon termination for reasons other than a violation of this Agreement, any accrued and eligible commissions will be paid out according to the standard payment schedule.

5. INTELLECTUAL PROPERTY

The Company grants you a limited, non-exclusive, revocable license to use the Invest Diva trademarks, logos, and promotional materials provided to you for use solely in connection with the Program. All uses must be pre-approved by the Company.

You agree not to modify, create derivative works of, or use the Company’s intellectual property in a manner that violates this Agreement or applicable laws.

Ambassadors must ensure the proper and professional representation of the Company’s intellectual property. Any misuse may result in termination from the Program

6. INDEPENDENT CONTRACTOR RELATIONSHIP

Your participation in the Program does not create an employer-employee, agency, joint venture, or partnership relationship between you and the Company. You are participating as an independent contractor, and you are solely responsible for your taxes, insurance, and other obligations.

7. LIABILITY AND INDEMNIFICATION

You agree to indemnify, defend, and hold harmless the Company from any claims, damages, or liabilities arising from your participation in the Program, including but not limited to your promotional activities and breach of this Agreement.

The Company is not responsible for any indirect, incidental, or consequential damages arising from this Agreement or the Program.

8. MODIFICATION

The Company reserves the right to modify or terminate this Agreement or the Program at any time, with prior notice provided via email or the Ambassador dashboard. Continued participation in the Program after modifications are made constitutes your acceptance of the updated terms.

9. GOVERNING LAW
This Agreement will be governed by and construed in accordance with the laws of Connecticut, without regard to its conflict of law provisions.
